1. Definitions

• "Cropaite Technologies" or "we" or "us" means Cropaite Technologies, incorporated in Kenya.
• "App" means the Cropaite mobile application, including all features, content, AI models, and updates.
• "Pilot" means the Cropaite Phase 1 Pilot Programme governed by the Pilot Agreement.
• "Participant" or "you" means any individual, farm, or organisation accepted into the Pilot Programme.
• "User Data" means all data submitted by you through the App, including scan images, feedback, treatment logs, and account information.
• "AI Diagnosis" means the disease identification and confidence score generated by the Cropaite AI model in response to a crop scan.

2. Acceptance of Terms

By downloading, installing, or using the Cropaite App, you confirm that you have read, understood, and agree to be bound by these Terms. These Terms form part of a suite of documents governing your participation in the Pilot Programme, which includes the Pilot Agreement, the Data Consent Form, and the Non-Disclosure Agreement. In the event of any conflict between these Terms and those documents, the Pilot Agreement shall take precedence.

3. Eligibility and Access

3.1 Eligibility

Access to the Cropaite App during Phase 1 is restricted to individuals and organisations that have:

• Been formally accepted into the Cropaite Pilot Programme
• Signed and returned the Pilot Agreement, Data Consent Form, and Non-Disclosure Agreement
• Received a valid Pilot Access Code from the Cropaite team
• Confirmed they are 18 years of age or older

3.2 Account Security

You are responsible for keeping your Pilot Access Code, account credentials, and app login details confidential. You must not share your access credentials with any person who has not been individually registered as a Pilot Participant. Notify Cropaite immediately if you suspect any unauthorised use of your account.

4. Nature of the Cropaite Service

4.1 AI Diagnosis as a Decision-Support Tool

The Cropaite AI disease detection model is a decision-support tool. It is designed to assist farmers and agronomists in identifying crop diseases more quickly and consistently — it is not a substitute for the professional judgement of a qualified agronomist. The AI Diagnosis provided by the App is based on visual analysis of a single photograph at a single point in time, has a known margin of error, and should be cross-referenced with physical crop inspection and agronomist advice for high-value or export crops.

4.2 Pilot Status of the App

During Phase 1, the Cropaite App is in active development and testing. The App may contain bugs or incomplete features, the AI model is being trained and improved in real time, and features may be added, modified, or removed during the Pilot period without prior notice.

5. Permitted Use

Cropaite Technologies grants you a limited, non-exclusive, non-transferable, revocable licence to use the Cropaite App solely for the purposes of the Pilot Programme. You may use the App to:

• Scan crops on your own farm
• Access AI disease diagnoses and treatment recommendations
• Log treatment applications
• Use the agrovet locator
• Submit feedback and validation data

6. Prohibited Use

You must not:

• Share your Pilot Access Code or account credentials with any person not individually registered as a Pilot Participant
• Use the App for any commercial purpose beyond managing your own farm operations, including reselling diagnoses or recommendations to third parties
• Attempt to reverse engineer, decompile, disassemble, or extract the source code of the App or the AI model
• Submit deliberately misleading, fabricated, or manipulated scan images or feedback data
• Attempt to circumvent, disable, or interfere with any security feature or data protection measure within the App
• Reproduce, distribute, publish, or transmit any part of the App's content without Cropaite's prior written consent
• Use the App in any way that violates applicable Kenyan law or any law of the country in which you are operating

7. User Data and Licence

7.1 Ownership of User Data

You retain ownership of the farm data and scan images you submit through the Cropaite App. Cropaite does not claim ownership of your crops, your land, or your original farm data.

7.2 Licence You Grant to Cropaite

By submitting scan images and data through the App, you grant Cropaite a non-exclusive, worldwide, royalty-free licence to use, store, process, and analyse your User Data for:

• Generating AI Diagnoses
• Training and improving the Cropaite AI model
• Producing anonymised and aggregated research
• Improving the agrovet locator and disease prevalence maps

7.3 Feedback Ownership

Any feedback, suggestions, or feature requests you submit to Cropaite during the Pilot may be freely used by Cropaite to improve the platform without any obligation to compensate or credit the submitter. By submitting feedback, you assign any intellectual property rights in that feedback to Cropaite.

8. Intellectual Property

All intellectual property comprised in or associated with the Cropaite App belongs exclusively to Cropaite Technologies. This includes:

• The mobile application source code, design and user interface
• The AI crop disease detection model and its training methodology
• The disease and treatment database
• The Cropaite brand and all associated trademarks
• All documentation and training materials

Nothing in these Terms transfers any intellectual property rights to the Participant.

9. Disclaimer of Warranties

To the fullest extent permitted by Kenyan law, the Cropaite App and all content, AI diagnoses, and treatment recommendations are provided on an "as is" and "as available" basis without any warranty of any kind. Cropaite makes no warranty that:

• The App will be available or error-free
• The AI Diagnosis will be accurate or suitable for any particular disease or situation
• Treatment recommendations will be effective or locally available

10. Limitation of Liability

To the fullest extent permitted by law, Cropaite Technologies shall not be liable to any Participant for any indirect, incidental, special, consequential, or punitive loss arising from use of the App, including:

• Loss of crops, yield, or harvest arising from reliance on an AI Diagnosis or treatment recommendation
• Loss of revenue or export market access
• Loss of data arising from device failure or connectivity issues

11. Indemnification

You agree to indemnify, defend, and hold harmless Cropaite Technologies, its directors, employees, contractors, and agents from and against any claims, damages, losses, costs, or expenses arising from:

• Your breach of these Terms or the Pilot Agreement
• Submission of false or manipulated scan or feedback data
• Your violation of any applicable law in connection with your use of the App

12. Term and Termination

12.1 Duration

These Terms remain in effect for the duration of the Pilot Programme as specified in your Pilot Agreement.

12.2 Termination by Either Party

Either party may terminate the licence to use the App by giving seven (7) days' written notice to the other party.

12.3 Immediate Termination by Cropaite

Cropaite may terminate your access immediately and without notice if you breach these Terms, submit fraudulent or manipulated data, use the App for any unauthorised commercial purpose, or if continued access poses a legal, reputational, or technical risk to Cropaite or other Pilot Participants.

12.4 Effect of Termination

On termination, your licence to use the App ends immediately. The following provisions survive termination: Sections 7.2, 8, 9, 10, 11, and 14.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Kenya. In the event of any dispute, the parties agree to first attempt resolution through:

• Good-faith negotiation within 30 days
• Then non-binding mediation in Nairobi
• If mediation fails: binding arbitration in accordance with the Kenyan Arbitration Act, 1995

14. General Provisions

• Entire Agreement: These Terms, together with the Pilot Agreement, NDA, Data Consent Form, and Privacy Policy, constitute the entire agreement between the parties regarding the Pilot Programme.
• Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: Failure by Cropaite to enforce any provision shall not constitute a waiver of that provision.
• Notices: All notices must be sent to info@cropaite.com (for notices to Cropaite) or to the email address registered by the Participant.
• Language: These Terms are written in English. The English version shall prevail in the event of any conflict with a translation.
